Almain assists and advises all types of clients (international groups, small and medium size companies, growth companies) in the creation, management and development of their structures in France.
In particular, the firm assists in restructuring transactions (contributions, partial asset contributions, splits, mergers), capital issuances (issuance of preference shares, securities giving access to the capital, incentive scheme mechanism) or corporate governance issues.
The M&A team has advised clients in highly complex transactions involving restructuring in regulated sectors or privileged status organisations (such as associations and cooperatives).
Almain also assists clients in managing day-to-day corporate matters (approval of accounts, monitoring of mandates, etc.).
The team also intervenes in restructuring as part of insolvency proceedings or before their occurrence. The firm handles ad hoc mandate, conciliation and safeguard proceedings, as well as continuation and disposal plans. Thanks to its multidisciplinary teams, the firm assists investors in submitting takeover bids, creditors declaring their receivables, and human resource departments in labour restructurings, site closures or employment protection plans.
